Susan Greenspon is a corporate transactional attorney who has been practicing since 1989 in the areas of mergers and acquisitions, private equity and angel financing. Her clients range from start-up entities to publicly traded corporations. Her clients include software developers and Internet entities.

Financing
Susan helps clients secure funding – from angel investments to pre-IPO mezzanine financing – as well as more traditional bank financing. Numerous companies, including Internet and tech companies, have continued to rely on her expertise as they built their success after early-stage funding is secured. Susan also represents funds themselves in both distressed debt situations and in the raising of venture capital.

Mergers & Acquisitions
She has had extensive experience in mergers and acquisitions, as well as divestitures. Ms. Greenspon has recently helped companies buy or sell companies or assets ranging in size from $4 million to $85 million, both within the U.S. and internationally. Her experience includes sales to both strategic and financial purchasers, foreign and domestic, as well as with privately held and publicly traded entities.

Corporate Law
Many of Susan's clients in the U.S. and internationally rely on her as outside general counsel. In this role she negotiates and documents senior management agreements, handles corporate form documentation (i.e., confidentiality and non competition agreements, employment agreements, independent contractor agreements), and forges third party and joint venture agreements. In addition, Susan counsels these clients on the formation and documentation of stock option vehicles, stock repurchase agreements and redemption arrangements.

Diverse Expertise in a Range of Industries
Susan's clients include companies that have developed Internet sites for the entertainment, marketing and social networking spaces, as well as companies that have developed voice-activated software, shipping logistical software and customized software programs for product assembly and repair. In addition, she represents such green-tech clients as Ostara Nutrient Recovery Technologies, Inc., a Canadian/U.S. entity with technologies on the cutting-edge for the improvement of land and water worldwide.
